Terms & Conditions

1. Definitions

• Company: Formulage Distribution (Pty) Ltd.
• Stockist: Authorized salon/distributor participating in the Formulage B2C programme, whose details are displayed on the Website.
• Customer: Any person purchasing Products from the Website.
• Products: Skincare items offered for sale.
• Website: The Company's official e-commerce platform.

2. Scope of Agreement

These Terms govern all sales of Products through the Website. By placing an order, the Customer agrees to be bound by these Terms, the Privacy Policy, and the Refunds & Returns Policy.

3. Product Information

• Product descriptions, images, and specifications are accurate to the best of the Company's knowledge.
• The Company reserves the right to amend product details, discontinue Products, or update formulations without prior notice.

4. Pricing and Payment

• Prices are quoted in South African Rand (ZAR) and include VAT.
• Payment must be made in full at checkout via approved payment methods.
• Confirmed orders will not be affected by subsequent price changes.
• Payments are processed via secure gateways; the Company does not store card details.

5. Order Acceptance

• Orders constitute an offer to purchase.
• Acceptance occurs only upon order confirmation by the Company.
• The Company may refuse or cancel orders due to stock unavailability, payment irregularities, or suspected fraud.

6. Role of Stockists

• Orders are fulfilled by Formulage on behalf of the Stockist.
• Stockists may view limited customer information (name and region) for operational purposes only.
• Stockists are prohibited from issuing independent refunds, discounts, or using customer data for marketing.

7. Delivery

• Delivery is managed by Formulage via appointed couriers.
• Estimated times are for guidance only.
• Risk passes to the Customer upon delivery.

8. Returns and Refunds

• Customers may return Products within 15 days of delivery if unopened, unused, and in original packaging.
• Refunds are processed centrally by Formulage.
• Defective products will be replaced/refunded in line with the CPA.
• Stockists are not authorized to process refunds independently.

9. Warranties and Liability

• Products are supplied for cosmetic use only.
• No medical claims are made or implied.
• Liability is limited to the purchase price of the Product.
• The Company is not liable for indirect damages, courier delays, or third-party failures.

10. Force Majeure

The Company shall not be liable for delays or non-performance caused by events beyond reasonable control, including strikes, pandemics, natural disasters, or government restrictions.

11. Consumer Protection Act Compliance

• Customers retain all rights under the CPA, including the 7-day cooling-off period for online purchases.
• Defective products will be handled in accordance with CPA provisions.

12. Electronic Communications & Transactions Act Compliance

• Electronic orders, confirmations, and communications are legally binding.
• Records of transactions will be retained by the Company.

13. Intellectual Property

• All trademarks, logos, product names, and content belong to Formulage.
• Unauthorized reproduction or use is prohibited.

14. Dispute Resolution

• Disputes must first be referred to the Company for internal resolution.
• If unresolved, disputes shall be referred to mediation or arbitration under South African law.
• Jurisdiction lies with the courts of South Africa.

15. Amendments

The Company reserves the right to amend these Terms at any time. Updates will be published on the Website, and continued use constitutes acceptance.

16. Governing Law

This Agreement is governed by and construed in accordance with the laws of South Africa.
